Nutritional Growth Solutions acquires Sprout Organic

Nutritional Growth Solutions (ASX:NGS) announced an agreement to acquire 100% of Queensland-based Sprout Organic.

Sprout Organic is widely recognised for launching the world’s first 100% organic, plant-based infant formula approved by Food Standards Australia New Zealand.

The acquisition allows NGS to build a diversified, global lifestyle nutrition platform that caters to children from birth through to adolescence.

The transaction brings substantial commercial advantages, establishing immediate access to an extensive retail footprint.

Sprout Organic's popular product range—which includes infant formula, toddler drinks, healthy snack bars, and essential shakes—is already stocked in over 1,000 retail locations, including Woolworths Online, Coles Online, Chemist Warehouse, and leading pharmacy networks.

The integration is expected to deliver approximately $870,000 in identified annualised cost savings through corporate rationalisation and operational synergy.

Furthermore, the business utilises complementary Australian and US distribution channels alongside an asset-light, outsourced manufacturing model, requiring no capital expenditure to scale up operations.

A significant executive restructuring will accompany the completion of the deal. Sprout Founder and CEO Selasi Berdie is set to step into the role of NGS CEO and Executive Director.

Sprout COO Ben Chester will transition to Group COO, while Manik Pujara will move into a non-executive director role.

At the time of reporting, Nutritional Growth Solutions’ share price was $0.020.
