
Nova Minerals (ASX:NVA) revealed plans to redomicile the company from Australia to the United States.
The strategic pivot follows a shift in shareholder demographics; as of Dec. 31, 2025, US investors hold a majority of the company’s shares.
Consequently, Nova will lose its "foreign private issuer" status and must comply with US domestic security laws starting July 1.
To streamline regulatory compliance between the ASX and Nasdaq, the board proposes establishing a new US entity, likely named Nova Minerals Corp.
Under this plan, existing ASX shareholders will receive CHESS Depositary Interests, while Nasdaq ADS holders will transition to common stock, ensuring ownership interests remain preserved.
Nova also intends to acquire the remaining 15% interest in the Estelle Gold and Critical Minerals Project, moving to 100% ownership.
