
MaxiPARTS receives cash takeover bid from Ares
- Ares Management Asia offered to acquire MaxiPARTS for $2.50 cash per share in a non-binding proposal.
- The MaxiPARTS share price jumped 32.16% to $2.26 following the announcement.
- MaxiPARTS simultaneously agreed to acquire Air Brake Systems for $11.2 million to expand its technical product range.
MaxiPARTS (ASX:MXI) has received a conditional, non-binding proposal from Ares Management Asia to acquire 100% of the company for $2.50 cash per share.
The offered price represents a 46% premium over the previous closing price of $1.71 per share recorded on 2 September 2026.
Separately, MaxiPARTS signed a binding agreement to buy the assets of Air Brake Systems Unit Trust for $11.2 million, funded via existing cash and debt facilities.
MaxiPARTS stated that the proposed acquisition of Air Brake Systems is expected to generate 17% earnings per share accretion.
Following the announcement, the MaxiPARTS share price was up at $2.25.
The board granted Ares a four-week period of exclusivity to perform due diligence and negotiate binding terms.
Shareholders will remain entitled to receive the previously declared final dividend of 5.46 cents per share regardless of the takeover progression.
