IFM seeks Panel orders over Atlas Arteria disclosures

IFM Investors has lodged an application with the Takeovers Panel, seeking urgent orders to compel Atlas Arteria (ASX:ALX) to rectify alleged disclosure gaps regarding its Chicago Skyway holdings.

The move follows claims that Atlas Arteria withheld critical information concerning a "right of first offer" granted to the Ontario Teachers’ Pension Plan Board just days prior to IFM’s off-market takeover bid.

IFM, which currently maintains a 34.48% stake in the toll-road operator, argues that the failure to disclose these arrangements—specifically amidst a recommendation for shareholders to reject the bid—constitutes a material deficiency and a potential "frustrating action".

While the Panel has acknowledged the application, a sitting member has yet to be appointed to determine whether formal proceedings will commence.

At the time of reporting, Atlas Arteria’s share price was $4.79.
