FleetPartners settles shareholder class action for $27M

FleetPartners Group (ASX:FPR) announced a breakthrough in its legal challenges, reaching an in-principle agreement to settle a long-standing shareholder class action.

The proceedings, originally filed in the Supreme Court of Victoria in November 2023, targeted the company’s conduct during its former iteration as Eclipx Group (ASX:ECX).

The lawsuit was spearheaded by investors who acquired fully paid ordinary shares between 8 November 2017 and March 20, 2019, alleging that the company provided misleading disclosures and financial guidance during the FY2017 to FY2019 periods.

Under the terms of the negotiated settlement, FleetPartners has agreed to a total payment of $27 million.

The financial structure ensures that the settlement will not result in a direct capital outflow from the company’s internal operational funds, providing a degree of fiscal relief for current stakeholders.

Despite the substantial payout, FleetPartners has remained firm on its legal standing, stating that the settlement involves no admission of liability.

The agreement remains "in-principle" at this stage, pending the finalisation and execution of a binding deed of settlement.

Furthermore, the resolution is subject to formal approval by the Supreme Court of Victoria.

If sanctioned, this settlement will effectively close a turbulent chapter regarding the company’s historical transparency and market guidance.

At the time of reporting, FleetPartners’ share price was $2.77.
