Clinuvel Pharmaceuticals (ASX:CUV) announced its board is considering changing its holding structure to list on the Nasdaq and delist from the ASX.

The proposal contrasts with its current structure, where research is in Singapore and operations span Europe, the UK, and the US.

Under the proposed scheme of arrangement, current shareholders would receive ordinary shares in a new foreign holding company.

The company stated that the proposed transaction remains subject to final board approval, due diligence, and regulatory clearances.

Following the announcement, the Clinuvel Pharmaceuticals share price was down at $9.42.

The pharmaceutical business manages commercial and clinical operations across the United States, the European Union, and the United Kingdom.

Clinuvel plans to establish its new corporate headquarters in the United States, effective Jan. 1, 2027.
