Anagenics (ASX:AN1) executed an unconditional asset sale agreement on Nov. 5 to sell its haircare technology and associated intellectual property, including the évolis brand assets, to YSB IP for $2.5 million in cash on completion.
The transaction builds on an existing partnership established in July 2024, when Anagenics licensed the technology to York St Brands to create its Bouf brand.
Under the agreement terms, Anagenics receives $2.5 million upfront, $0.2 million in quarter-to-date royalties, and quarterly payments equal to 4% of net sales capped at $7 million in aggregate.
The transaction strengthens the balance sheet as the company advances its portfolio strategy.
Following the announcement, the Anagenics share price was up to $0.006.
The transaction crystallises the value of the haircare technology previously licensed to York St Brands for its product range.
Anagenics stated that the agreement provides additional strategic flexibility following the company's maiden full-year profit reported for FY26.
