
4DS Memory to acquire Jenesys for software expansion

- The transaction aims to combine proprietary memory hardware with autonomous Edge-AI software capabilities.
4DS Memory (ASX:4DS) has entered into a binding heads of agreement to acquire 100% of Jenesys to integrate autonomous software with its semiconductor technology.
The agreement follows a strategic review initiated in September 2025 to explore adjacent growth opportunities after discontinuing a prior development pathway.
"After lengthy discussions on strategic positioning and development activities for both technologies and the combined technologies, the Board made the decision to acquire 100% of Jenesys," said 4DS Memory Executive Chairman David McAuliffe.
To fund the integration and development of its PCMO ReRAM technology, the business proposes a non-renounceable rights issue and placement to raise up to $5 million.
The deal is targeted to complete in October.
Following the announcement, the 4DS Memory share price was unchanged at $0.010.
Upon completion, Jenesys shareholder Jaspal Sarai will join the board as Managing Director and CEO.
The combined venture aims to target new computing-in-memory and neuromorphic computing markets across air, land, sea, and space sectors.
