Bending Spoons (NASDAQ:BSP) entered an agreement to acquire Miro at an enterprise value of $1.355 billion, with the transaction expected to expand its software product portfolio.

The deal values Miro’s equity at approximately $1.79 billion when combined with the company’s net cash position, and follows Bending Spoons’ recent acquisition of Airtable.

The all-cash transaction includes a commitment from certain Miro shareholders to invest $295 million of their proceeds into newly issued Bending Spoons equity, with closing expected in the fourth quarter of 2026.

Miro provides collaborative workspace software used by more than 250,000 organizations, with the company reporting approximately $600 million in annual recurring revenue and nearly 90% from business and enterprise customers.

The acquisition remains subject to regulatory approvals and other customary closing conditions, with both companies continuing to operate independently until completion.
