
OLAPLEX Holdings (NASDAQ:OLPX), the innovative science-led hair care brand, announced today that it has entered into a definitive agreement to be acquired by the German consumer goods giant Henkel.
Under the terms of the deal, Henkel will acquire all outstanding shares of OLAPLEX for $2.06 per share in an all-cash transaction, implying an equity value of approximately $1.4 billion.
The purchase price represents a significant premium for OLAPLEX shareholders, totaling approximately 55% over the company's closing stock price on March 25, 2026.
Furthermore, the offer carries a 45% premium over the 30-day volume-weighted average price (VWAP).
The board of directors of OLAPLEX has unanimously approved the transaction and recommended that stockholders tender their shares.
The acquisition is a strategic move for Henkel, which has been aggressively expanding its "Henkel Consumer Brands" segment to compete more effectively in the high-growth prestige hair care market.
OLAPLEX, known for its patented bond-building technology, will continue to operate under its existing brand identity while leveraging Henkel’s global distribution network and extensive research and development resources.
Upon completion of the transaction, OLAPLEX will become a privately held company and its common stock will no longer be listed on the Nasdaq Stock Market.
The deal is subject to customary closing conditions, including regulatory approvals in multiple jurisdictions, and is expected to be finalized in the second half of 2026.
