
Nukkleus (NASDAQ:NUKK) has successfully closed its acquisition of Tiltan Software Engineering, making the Israeli defense technology firm a wholly owned subsidiary.
The acquisition, valued at approximately $14 million (NIS 47,600,000), positions Nukkleus for enhanced capabilities in AI, simulation, unmanned systems, and defense electronics.
Tiltan brings 30 years of specialized experience in defense AI, simulation, synthetic data, and GPS-denied navigation, with deep integration into major programs for key defense players such as Israel Aerospace Industries, Elbit Systems, and Rafael.
This acquisition strengthens Nukkleus’s foothold in the defense sector, enhancing its portfolio in advanced technologies for military and defense applications.
The purchase price will be paid with 75% in cash, distributed in six installments through June 2026, and the remaining 25% in Nukkleus common stock, which will be released from escrow upon settlement.
The payments are secured by a pledge of Tiltan shares.
This acquisition marks a significant step for Nukkleus, which believes the deal will solidify its market position and offer substantial growth potential within the defense and AI sectors.
