Yatra Online (NASDAQ:YTRA) confirmed that Magna Holdings launched an unsolicited tender offer to purchase up to 20 million ordinary shares of Yatra at $1.10 per share in cash.
The offer represents approximately 31% of Yatra’s outstanding shares on an as-converted basis and is scheduled to expire at midnight New York City time on September 17, 2026, unless extended.
The tender offer is subject to proration and includes payment of $1.10 per share less any applicable withholding taxes, with no interest payable.
Yatra said shareholders should not take any action at this time while the board reviews the proposal with independent advisors.
The company’s board will file a formal recommendation regarding the tender offer with the U.S. Securities and Exchange Commission through a Schedule 14D-9 filing within 10 business days.
Yatra operates corporate travel services and online travel platforms in India, serving business and consumer travel markets.
