Prologis (NYSE:PLD) agreed to acquire SEGRO for approximately $18.8 billion to create a global real estate platform.

The transaction will expand the European operating footprint of the company by 47% to 368 million square feet.

Target shareholders will receive 0.0920 new Prologis shares for each SEGRO share under the standard transaction terms.

The agreement includes an optional partial cash alternative capped at £3.5 billion, offering a mix of cash and stock.

Following the announcement, Prologis' share price was down at $143.94.

The company stated the transaction is targeted to close in the first half of 2027, pending regulatory approvals.

The combination will add a 13 million square foot development pipeline and increase the European land bank by 126%.
