LIXTE Biotechnology (NASDAQ:LIXT) entered into a definitive agreement to acquire 100% of NOMAD Transportable Power Systems, executing a complete structural transformation away from its legacy clinical-stage oncology pipeline into a dedicated public-market platform for AI and utility energy infrastructure.

Upon the closing of the transaction, the unified operating company will officially rebrand and be renamed NOMAD Power Solutions.

The strategic acquisition targets the structural bottlenecks currently capping the growth of North American hyper-scale data centers, artificial intelligence factories, and utility grids.

Driven by manufacturing reshoring and computational loads, approximately 2.3 terawatts of generation and storage capacity sit backlogged in U.S. interconnection queues, blowing development timelines out to five or seven years.

NOMAD addresses this supply gap by manufacturing mobile, utility-grade 1-megawatt (MW) battery energy storage systems (BESS) that are fully validated to UL 9540 safety protocols.

Because these systems are deployed as wheeled industrial equipment rather than permanent real estate installations, operators can frequently bypass the local land-use permits, protracted environmental reviews, and extensive interconnection delays that stall permanent infrastructure.

The target company's commercial trajectory reflects this acute market imbalance.

NOMAD's top-line revenue increased by approximately 175% year-over-year in 2025, and corporate management projects an additional 135% revenue expansion through the full year of 2026.

The high-capacity systems, which serve municipal utilities, industrial campuses, and emergency providers via straight equipment sales or structured energy-as-a-service lease models, are currently seeing a heavy demand pull, with roughly 75% of active sales activity originating from inbound customer queries.

NOMAD is actively advancing negotiations across more than 30 contracted or late-stage infrastructure opportunities throughout North America.
