Integer agrees to $5.7 billion KKR buyout

Integer Holdings (NYSE:ITGR) agreed to a $5.7 billion all-cash acquisition by KKR, giving shareholders $127 for each share.

The offer represents a 4.78% premium to Friday’s close after takeover reports had already lifted Integer shares more than 20%.

“The Board believes now is the right time to consider all opportunities to further enhance stockholder value,” said Integer Chair Pamela Bailey.

The transaction is expected to close by year-end, while Integer withdrew its financial outlook and canceled its scheduled earnings call.

Following the announcement, Integer's share price was up 2% in premarket trading from Friday’s $121.21 close.

Integer makes medical-device components and reported Q2 sales of $464 million, adjusted EBITDA of $94.9 million and adjusted EPS of $1.60.

Recent moves included a strategic review, two board appointments, a $50 million repurchase plan and the Precision Coating and VSi Parylene acquisitions.
