
Inspira Technologies (NASDAQ:IINN) has reached a definitive agreement to acquire the Additive Manufacturing Electronics (AME) platform from Nano Dimension, marking a significant expansion of its technical capabilities and intellectual property portfolio.
The acquisition includes a comprehensive suite of assets, encompassing high-precision 3D electronic printing systems, proprietary software, engineering expertise, and fully equipped manufacturing facilities.
Inspira also gains control over Nano Dimension’s AME-related inventory and customer-focused assets, assuming operational control effective immediately.
The total consideration for the transaction is structured at up to $12.5 million.
This includes an initial upfront cash payment of $2 million, followed by up to $10.5 million in deferred payments.
These subsequent installments are contingent upon the platform meeting specific performance milestones over the next 12 months.
The final closing of the deal remains subject to customary regulatory approvals.
