IM Cannabis (NASDAQ:IMCC) executed a definitive agreement on August 16, 2026, to sell all shares of I.M.C. Holdings to Slil.com Holding to clear up to C$9.4 million in liabilities.

Prior to the final closing, a corporate reorganization will ensure the seller retains its core Israeli medical cannabis operations.

Once reorganized, the divested holding unit will primarily contain equity in Adjupharm GmbH, Xinteza API, and Shiran.

The company stated the deal consideration includes a prior C$3 million advance payment and the assumption of retained liabilities capped at C$9.4 million.

Management forecasted an approximate C$3 million improvement in shareholders’ equity.

The transaction transfers specific operational liabilities to the buyer pending customary regulatory approvals and Israeli tax clearance

This divestment aligns with recent corporate actions to streamline the organizational structure and consolidate focus on the retained Israeli market.
