BiomX pivots toward defense tech with acquisition of LADAR specialist DFSL

BiomX (NYSE:PHGE) announced on April 13, 2026, that it has accelerated the exercise of an exclusive option to acquire a controlling interest in DFSL, an Israeli-based defense engineering firm.

The deal signals a strategic expansion for BiomX into the high-growth security and counter-unmanned aircraft system (C-UAS) sectors.

DFSL specializes in the development of Light Detection and Ranging (LADAR)-based systems designed for the protection of perimeters and critical infrastructure.

The firm’s proprietary sensing technology boasts an approximately 99% accuracy rate, offering high-resolution detection capabilities that outperform traditional radar in identifying small-scale threats, including low-altitude drones and unauthorized intrusions in complex environments.

The acquisition aims to integrate DFSL’s precision sensing hardware with BiomX’s existing Zorronet AI, a command-and-control platform.

The combined "detection-to-response" solution is intended to provide automated, real-time threat assessment and mitigation for government and private-sector security operators.

The financial terms of the definitive agreement include a combination of cash and an unsecured convertible note.

Furthermore, the consideration includes warrants exercisable at $12 per share and a performance-based bonus tied to future revenue milestones.

The transaction is subject to customary closing conditions, including approvals from Israeli regulatory authorities and NYSE American shareholder consent.
