Axogen (NASDAQ:AXGN) agreed to acquire BioCircuit Technologies for $200 million in cash, adding the FDA-approved NerveTape™ device for sutureless peripheral nerve repair.
The transaction follows Axogen’s strategy of expanding its nerve repair product portfolio, with the company expecting the acquisition to broaden its addressable market through its existing sales network and surgeon relationships.
The cash consideration is subject to customary adjustments, including $1 million withheld for a post-closing purchase price adjustment, and closing is expected in the fourth quarter of 2026 after completion of standard conditions.
Axogen develops and markets surgical solutions for peripheral nerve injuries, while BioCircuit Technologies develops medical devices focused on nerve repair applications.
The company said it expects the acquisition to contribute to 2027 revenue and improve gross and adjusted EBITDA margins while remaining free cash flow positive.
