Aurora Cannabis (NASDAQ:ACB) confirmed that Curaleaf Holdings has commenced an unsolicited takeover bid for all Aurora common shares, offering implied consideration of US$4 per share.
The offer consists of 0.3463 Curaleaf subordinate voting shares plus US$0.75 in cash for each Aurora share, with Aurora stating that the proposal’s value cap of US$5 per share is below the company’s trading price reached on December 18, 2025.
Aurora said its board established a special committee of independent directors to review the offer with external legal, financial and advisory firms, while shareholders will have at least 105 days to consider the proposal.
The offer must remain open until at least December 1, 2026, and Aurora is advising shareholders to take no action until the board releases a formal recommendation through a Directors’ Circular.
Aurora’s special committee will evaluate the terms of Curaleaf’s proposal and assess the interests of Aurora shareholders before providing its recommendation.
Curaleaf’s offer represents a proposed combination between two cannabis companies, with completion subject to shareholder, regulatory and other required approvals.
