AstroNova (NASDAQ:ALOT) agreed to be acquired by private equity firm Arcline Investment Management in an all-cash transaction with an enterprise value of approximately $272 million.
This agreement follows a previously announced review of strategic alternatives conducted by the board to maximize value for shareholders.
The purchase price of $29 per share represents a premium of approximately 120% over the volume-weighted average price of the company's common stock for the 90 days ending June 16, 2026.
The transaction is subject to customary closing conditions, including regulatory approvals and the approval of AstroNova shareholders.
Upon the successful completion of the deal, the company will transition from a publicly traded entity to a privately held business under the ownership of Arcline.
Following the announcement, AstroNova's share price was up 18.37% at $28.17.
AstroNova currently provides identification and marking solutions for the aerospace, defense, labeling, and packaging industries.
The company's board stated that the decision to pursue this sale followed a comprehensive evaluation process of various paths to deliver returns to investors.
