  • Analog Devices (NASDAQ:ADI) is advising shareholders to reject Tutanota LLC’s offer to purchase up to 100,000 shares at $525 each, citing conditions that could leave participants selling below the prevailing market price.
  • The proposed transaction requires ADI’s closing share price to exceed $525 immediately before expiration unless Tutanota waives that condition, and Tutanota has indicated it does not currently have the financing needed.
  • The offer is scheduled to expire at 5:00 p.m. New York City time on November 16, 2026, but Tutanota reportedly anticipates extensions of 45–180 days, potentially delaying payment.

Analog Devices (NASDAQ:ADI) has recommended that shareholders reject an unsolicited tender offer from Tutanota to purchase up to 100,000 shares at $525 each.

The proposed cash offer requires Analog Devices’ closing share price to exceed $525 on the final trading day before expiration unless Tutanota waives that condition.

Analog Devices raised concerns about the transaction’s financing requirements, with Tutanota indicating that it does not currently have sufficient financing to complete the purchases.

The offer is scheduled to expire at 5:00 p.m. New York City time on November 16, 2026, although the deadline could be extended.

Tutanota reportedly expects successive extensions lasting 45 to 180 days until the company’s share price exceeds the offer price, potentially delaying payment to shareholders.

Analog Devices said it has no affiliation with Tutanota or the unsolicited offer, which concerns only a limited portion of its outstanding common shares.

The transaction follows similar mini-tender offers made by Tutanota for other publicly traded companies, drawing attention to conditional pricing, financing uncertainty and reduced investor protections.
