UAE token rules tighten under VARA and CMA

The United Arab Emirates introduced stricter token issuance regulations in 2026 through new frameworks from Dubai’s Virtual Assets Regulatory Authority and the federal Capital Markets Authority.

VARA now separates token issuers into Category 1 and Category 2 structures, with Category 1 applying to fiat-referenced and asset-backed tokens that face higher licensing, governance and disclosure requirements.

Category 2 token issuers may distribute tokens through a licensed VARA intermediary without obtaining a standalone licence, creating a lower entry pathway for some foreign crypto projects.

One of the most significant changes is VARA’s decision to treat whitepapers and disclosure documents as legally binding legal instruments rather than simple informational marketing materials.

Under the updated rules, token issuers can face regulatory enforcement action and investor lawsuits for inaccurate, incomplete or misleading disclosures, with foreign issuers held to the same standards as UAE-based entities.

The federal CMA framework adds an additional compliance layer for token activity conducted outside Dubai’s free zones, imposing anti-money laundering, conduct and prudential requirements across mainland UAE jurisdictions.

The new regulatory structure is expected to increase compliance costs for crypto projects while strengthening investor protection and improving the UAE’s reputation as a regulated digital asset hub for institutional participants.

Legal advisers said the rules will likely increase demand for specialised crypto compliance services, whitepaper reviews and cross-border legal structuring as foreign projects evaluate whether to operate under VARA, CMA, DIFC or ADGM regulatory regimes.
