SkyAI sells Solana holdings and launches $201.3 million tender offer
- SkyAI sold all its Solana holdings and launched a tender offer worth up to US$201.3 million.
- The company held approximately US$223.8 million in cash as of 16 October 2026.
- The offer targets shares and warrants, marking a shift away from holding Solana as a treasury asset.
SkyAI, Inc. (NASDAQ:SKYA) is offering US$3 per share or warrant, targeting up to 95% of each outstanding class.
The tender offer expires on 29 October unless extended or terminated earlier, and requires minimum participation thresholds for each class.
The company will fund accepted purchases and related costs from existing cash, without borrowing or external financing.
SkyAI’s offer covers common shares, cash pre-funded warrants, cryptocurrency pre-funded warrants and strategic warrants.
Eligible warrant holders can tender their warrants directly without first converting them into common shares.
SkyAI plans to keep its common stock listed on Nasdaq after the offer, while its stated business platform combines stablecoin infrastructure on Solana with artificial intelligence.
The company’s US$201.3 million maximum offer represents most of its US$223.8 million cash position as of 16 October.
Following the announcement, SkyAI shares closed up 5.28% at US$2.79.
