  • AI Financial Corp (NASDAQ:AIFC) will also receive approximately 11.6 million PrimeDelta Corp shares as part of the deal consideration, providing the seller with an equity stake in the acquiring entity alongside the debt instrument.

A secured promissory note is a formal written promise to pay a specified sum, backed by collateral, with the US$12 million note structure meaning PrimeDelta's payment obligation is legally enforceable and secured against assets.

The SEC filing did not disclose the strategic rationale behind the divestiture, leaving the reasons for the sale of the Canadian subsidiary undisclosed at the time of the announcement.

ALT5 Sigma Canada was the Canadian operating subsidiary of AI Financial Corp, which rebranded from ALT5 Sigma following its pivot towards artificial intelligence-focused financial technology services.

The divestiture represents a structural change to AI Financial Corp's (NASDAQ:AIFC) business, reducing its cross-border operating footprint by exiting its Canadian entity whilst retaining its US-based operations and receiving consideration in both cash instalments and equity.
