
XPON Technologies divests Google operations for $7.5M
XPON Technologies Group (ASX:XPN) has entered into a binding agreement to divest its Google Marketing Platform and Google Cloud Platform business to Incubeta Australia.
The transaction will be executed via the sale of XPON’s subsidiary, Datisan, for a total potential consideration of up to $7,500,000.
The structure includes an immediate completion payment of $5.5 million in cash alongside a contingent earn-out of up to $2 million.
The buyer, Incubeta, is an internationally recognised AI-outcomes agency and certified Google partner backed by the global private equity giant The Carlyle Group (NASDAQ: CG).
According to XPON, the divestment marks a pivotal milestone designed to dramatically recalibrate its balance sheet and unlock capital.
The proceeds will be directly deployed to accelerate the development and market expansion of its proprietary Wondaris AI Marketing Platform, while providing the financial flexibility required to pursue further targeted M&A opportunities within the fast-growing artificial intelligence sector.
Mark Simari, Chairman of XPON, emphasised that Incubeta represents an ideal long-term custodian for Datisan’s clients and specialists.
The transaction remains subject to several standard regulatory and corporate closing conditions.
