Tivan (ASX:TVN) has advanced negotiations for an incorporated joint venture to develop the Molyhil Tungsten Project in the Northern Territory alongside Sumitomo Corporation and ETFS Capital.
The current negotiations build on key terms memorandums of understanding executed in June 2026 that outline equity investments of up to $25 million from each partner.
Under the proposed structure, Sumitomo Corporation may contribute up to $25 million for an 8.75% interest in the joint venture, while ETFS Capital may invest up to $25 million for an indirect 8.75% stake in the project.
Sumitomo Corporation is expected to apply to the Foreign Investment Review Board shortly for regulatory clearance of its proposed investment.
Following the announcement, the Tivan share price was unchanged at $0.20.
The transaction progress follows structural internal restructures by Tivan alongside completed legal and tax due diligence workstreams.
To facilitate the finalisation of binding long-form contracts, all parties agreed to extend the memorandum of understanding deadline to Nov. 15.
