Codan acquires US defence firm in $21M deal
Codan (ASX:CDA) announced a binding agreement to acquire 100% of the intellectual property of US-based engineering firm Adaptive Dynamics.
The transaction, executed through Codan’s wholly owned subsidiary DTC Communications, involves an acquisition consideration of approximately $21 million.
The total comprises upfront and contingent payments tied to technology development and integration milestones over the next two years.
Additionally, a tiered royalty payment, funded via operating cashflow, will be payable on technology licence sales for five years post-completion.
Expected to close in early H1 FY27 subject to regulatory conditions, the transaction is projected to be earnings neutral in its first year, prioritising technology integration.
The strategic acquisition significantly enhances DTC’s US-based technical capabilities, particularly within unmanned systems.
Adaptive Dynamics brings over twenty years of expertise in advanced algorithms and radio frequency technologies.
Specialising in anti-jamming, interference mitigation, and assured positioning, navigation and timing, their solutions offer crucial intentional and unintentional interference cancellation.
The adaptive filtering techniques are highly relevant to defence and national security frameworks spanning land, maritime, and airborne domains.
By incorporating this intellectual property, Codan will strengthen DTC’s positioning for next-generation US and allied defence programmes.
At the time of reporting, Codan’s share price was $40.46.
