Federal Treasurer Jim Chalmers has cleared the $3.3 billion acquisition of Insignia Financial (ASX:IFL) by US-based private equity firm CC Capital.
The announcement marks a breakthrough for the deal nearly nine months after the scheme of arrangement was first proposed.
The Foreign Investment Review Board confirmed that the Treasurer holds "no objections" to the transaction, effectively removing a regulatory hurdle for the American suitor.
The market responded with measured optimism following the news; Insignia’s share price rose 0.3% to $4.77 by midday AEST, inching closer to the proposed cash consideration of $4.80 per share.
The valuation implies an equity powerhouse move within the wealth management sector, reflecting CC Capital’s aggressive expansion into the Australian market. Despite the federal clearance, the deal is not yet a certainty.
The acquisition remains subject to several critical milestones, most notably a high-stakes vote by Insignia shareholders and final approval from the court.
Insignia’s board has maintained a firm stance, unanimously recommending that investors vote in favour of the buyout, citing the premium value offered to shareholders.
All eyes now turn to the scheduled scheme meeting on April 13, where the future of the financial giant will be decided.
If successful, the deal will represent one of the largest private equity exits in the Australian financial sector this year.
