Argent BioPharma signs licensing deal with NLC
- Argent BioPharma secured an exclusive, royalty-bearing licence to commercialise NLC's antiviral applications worldwide, excluding China.
- The deal requires up to US$225,000 in cash milestone payments alongside potential share issuances for sales targets.
- The acquisition expands the company’s anti-inflammatory and immune-modulation treatment portfolio alongside its existing CimetrA product.
Argent BioPharma (ASX:RGT) has executed an exclusive licence agreement with NLC to commercialise its Tollovir, Tollovid, and NutraVir antiviral applications globally outside of China.
The transaction follows the company's transition of its CannEpil product to a partnered model as it shifts commercialisation resources towards immune-modulation therapies.
Under the agreement terms, NLC is entitled to receive cash milestone payments of US$100,000 at US$2.5 million in cumulative net sales and US$125,000 at US$5 million in sales, plus US$1 for existing NutraVir inventory.
Argent BioPharma agreed to issue 2,000,000 performance rights to NLC subject to shareholder approval, which convert into ordinary shares on a one-for-one basis upon reaching sales targets.
The licence complements the company's operational structure by sharing joint commercialisation costs across both the new antiviral therapies and CimetrA.
Following the announcement, the Argent BioPharma share price was unchanged at $0.036.
The biopharmaceutical firm focuses on developing therapies targeting the immune system and central nervous system disorders.
