Nova (NASDAQ:NVMI) announced today that it has entered into a definitive agreement to acquire Sentronics Metrology, a privately held provider of wafer metrology tools, in an all-cash transaction valued at approximately $60 million.
The acquisition, subject to customary closing conditions and regulatory approvals, is expected to close within the first quarter of 2025.
Founded in Mannheim, Germany, Sentronics specializes in flexible, modular metrology tools equipped with multiple sensors, serving critical applications in semiconductor backend fabrication, such as thickness, roughness, and topography measurements.
With this acquisition, Nova aims to enhance its dimensional metrology portfolio and expand its reach into advanced wafer-level packaging and specialty devices.
The integration of Sentronics’ portfolio into Nova’s offerings is expected to provide significant growth opportunities in the rapidly expanding $200 million annual market for advanced semiconductor packaging.
The company anticipates the acquisition to be accretive on a non-GAAP basis within 12 months of closing, signaling strong potential for value creation in the near term.
