A Non-Disclosure Agreement (NDA) is a contract between two parties where confidential information is shared. One party, the disclosing party, agrees to share confidential information with the other, the receiving party, who must agree to keep the information secret.
For example, if an inventor wants to show a potential investor their invention, they may use an NDA to ensure the investor does not share the details of the invention with anyone else.
