Singapore-based Sembcorp Industries has announced a landmark agreement to acquire Australian energy company Alinta Energy in a transaction valued at $6.5 billion, including debt.
The deal positions Sembcorp at the forefront of Australia's evolving power sector, marking one of the most significant energy takeovers in recent years.
Under the terms of the agreement, Sembcorp will acquire all shares and shareholder loans associated with Alinta’s holding companies.
Sellers include Chow Tai Fook Enterprises and Pioneer Sail Singapore.
The cash component of approximately $5.6 billion will be financed through bridge loans and working-capital facilities, providing the Singaporean conglomerate with immediate scale and a strategic foothold in Australia’s dynamic energy market.
Alinta Energy is one of Australia's largest integrated energy providers, serving nearly 1.1 million customers and managing 3.4 gigawatts of installed and contracted capacity across coal, natural gas, wind, and solar assets.
Its 10.4-gigawatt development pipeline—including renewables, energy-firming solutions, battery storage, and pumped-hydro projects—represents a major growth opportunity for Sembcorp in renewable and transitional energy infrastructure.
The acquisition is expected to close in the first half of 2026, subject to shareholder approvals and regulatory clearances from Australia's Foreign Investment Review Board and Competition and Consumer Commission.
